竞业限制协议未约定期限时是否有效?

在深圳,如果一家科技公司与劳动者签订了竞业限制协议,但没有明确约定竞业限制的期限,协议有效么?这样的协议

在法律上仍然有效,但其有效性及具体执行细节会受到一定的限制和调整。

一、尽管协议中没有明确约定竞业限制的期限,但这并不必然导致协议无效。根据《中华人民共和国劳动合同法》第二

十三条和第二十四条的规定,竞业限制协议的有效性不完全依赖于是否有明确的期限约定,而是要看协议的整体内容是

否符合法律规定。

二、如果协议中没有明确约定竞业限制的期限,根据《深圳经济特区企业技术秘密保护条例》第二十三条的规定,竞业限

制协议可以被视为无固定期限协议,但双方可以随时解除协议,不过应当提前至少一个月通知对方。

三、即使协议中没有明确约定竞业限制期限,根据《中华人民共和国劳动合同法》第二十四条的规定,竞业限制的期限最

长不得超过两年。因此,即使没有明确约定,实际执行的竞业限制期限也不能超过两年。

四、根据《深圳经济特区企业技术秘密保护条例》第二十四条的规定,竞业限制协议约定的补偿费,按月计算不得少于该

员工离开企业前最后十二个月月平均工资的二分之一。如果协议中没有约定补偿金,劳动者有权要求按照上述标准支付补

偿金。为了减少潜在的法律风险和纠纷,建议公司在签订竞业限制协议时明确约定竞业限制的期限、补偿金等关键条款。

In Shenzhen, if a technology company signs a non compete agreement with its employees but does not specify the 

duration of the non compete agreement, is the agreement valid? This agreement is still legally valid, but its effectiveness 

and specific implementation details will be subject to certain limitations and adjustments.

1、 Although the agreement does not explicitly stipulate the period of non compete restrictions, this does not necessarily 

render the agreement invalid. According to Articles 23 and 24 of the Labor Contract Law of the People's Republic of China, 

the effectiveness of a non compete agreement does not solely depend on whether there is a clear time limit agreement, 

but rather on whether the overall content of the agreement complies with legal provisions.

2、 If there is no clear agreement on the period of non compete restrictions in the agreement, according to Article 23 of 

the Shenzhen Special Economic Zone Enterprise Technology Secret Protection Regulations, the non compete agreement 

can be regarded as an open-ended agreement, but both parties can terminate the agreement at any time, but they should 

notify each other at least one month in advance.

3、 Even if there is no explicit agreement on the non compete period in the agreement, according to Article 24 of the Labor 

Contract Law of the People's Republic of China, the maximum non compete period shall not exceed two years. Therefore, 

even if there is no clear agreement, the actual non compete period cannot exceed two years.

4、 According to Article 24 of the Regulations on the Protection of Enterprise Technical Secrets in Shenzhen Special Economic 

Zone, the compensation fee stipulated in the non compete agreement shall not be less than half of the average monthly salary 

of the employee in the last twelve months before leaving the enterprise, calculated on a monthly basis. If there is no agreement 

on compensation in the agreement, the employee has the right to demand payment of compensation according to the above 

standards.

In order to reduce potential legal risks and disputes, it is recommended that the company clearly stipulate key terms such as the 

period of non competition and compensation when signing a non competition agreement.
