哪些情况会导致竞业限制协议无效?
竞业限制协议需要满足三个要求才具有法律效力:
1)必须严格保护雇主的合法商业利益;
2)不得无理阻碍前雇员谋生的能力;并且
3)不能违反弗吉尼亚州的公共政策。

What situations can render a non compete agreement invalid?
A non compete agreement needs to meet three requirements in order to have legal effect:
1) Employers' legitimate business interests must be strictly protected;
2) Shall not unreasonably hinder the ability of former employees to make a living; also
3) Cannot violate Virginia's public policy.
For the first requirement, your non compete clause should be narrow enough to protect your business and avoid being too broad.
In terms of duration, employment non compete agreements in Virginia typically last for 12 months. Unless it is for the sale of the enterprise, the term cannot exceed 2 years, in which case the term can be extended to 5 years.
You also need to limit the scope of non compete restrictions to the types of roles that employees play for your company, that's all, otherwise it will be too broad and may not be enforceable in court.
For example, if a non compete clause prohibits employees from working for competitors in any capacity, it will be difficult to defend them in court and may not meet the first requirement, which is that the restriction must strictly protect your business.
For the second requirement, non compete agreements cannot unreasonably prevent employees from making a living. Employers should be cautious about the geographical scope of non compete agreements and only apply them to the geographical area where employees work, otherwise it may unreasonably prevent employees from working elsewhere.
Finally, non compete agreements cannot violate public policy. An example of a non compete agreement that violates public policy is incorrectly categorizing employees as independent contractors.
