Non-compete agreements are becoming increasingly common. So, what are the key points to note regarding non-compete
agreements?
The scope, territory, and duration of a non-compete agreement can be agreed upon by both the employer and the employee,
but they must also comply with legal and regulatory requirements. They cannot be arbitrarily expanded to cover the entire
industry or various positions, depriving employees of opportunities and possibilities for re-employment.
The termination of an employment contract does not affect the validity of the non-compete agreement. Whether the
termination is initiated by the employer in violation of the law or forced by the employee, unless otherwise agreed by both
parties, the non-compete clause remains binding on both.
The maximum duration of a non-compete restriction cannot exceed two years. Any portion exceeding two years is invalid.
The compensation for non-compete restrictions follows corresponding local regulations, typically paid monthly. It is generally
30% of the employee's monthly salary for the last twelve months before resignation. If the employer fails to pay the economic
compensation for more than three consecutive months due to the employer's reasons, the employee is entitled to unilaterally
terminate the non-compete agreement without the need for the employer's consent.
If the employer unilaterally requests to terminate the non-compete agreement, the employee has the right to request the
employer to pay an additional three months of non-compete compensation. (This clause is usually not utilized.)
In summary, when employees resign and know they have signed a non-compete agreement, they must confirm with HR whether to
continue fulfilling the agreement, in which case the company should pay the monthly economic compensation as agreed, or to sign
an agreement to terminate the non-compete restriction. It must be in writing, in writing, in writing.
