竞业限制纠纷 | 竞业义务与高级管理人员定义

除了公司法中对高级管理人员法定竞业限制内容有所规定外,劳动合同法中针对用人单位与劳动者约定竞业限制条款也有所规定。

为避免竞业限制被滥用,劳动合同法中对约定竞业限制义务的主体范围进行了明确规定:竞业限制的人员限于用人单位的高级管理人员、

高级技术人员和其他负有保密义务的人员。

同时公司法第265条中明确了高级管理人员的定义,是指公司的经理、副经理、财务负责人,上市公司董事会秘书和公司章程规定的

其他人员。

关于高级管理人员的定义,上市相关规定与公司法基本一致;值得我们重点关注的是,在金融及类金融行业领域中,因业务风险特点

以及管理结构等特点,相关规范性文件对于高级管理人员的定义,在公司法规定基础上有所扩大与细化,例如证券基金经营机构高级管理人员定义。

因此,在竞业限制纠纷涉及高级管理人员时,主体的判断与认定应当作为案件办理的切入点之一。

In addition to the statutory non-compete restrictions for senior management personnel stipulated in the Company Law, the Labor Contract Law also provides regulations on non-compete clauses agreed upon between employers and employees.

To prevent the abuse of non-compete restrictions, the Labor Contract Law explicitly specifies the scope of entities subject to agreed non-compete obligations: such restrictions are limited to senior management personnel, senior technical personnel, and other personnel with confidentiality obligations within the employing unit.

Meanwhile, Article 265 of the Company Law defines senior management personnel as the company's managers, deputy managers, financial officers, secretaries to the board of directors of listed companies, and other personnel specified in the company's articles of association.

Regarding the definition of senior management personnel, the relevant regulations for listed companies are generally consistent with the Company Law. It is noteworthy that in the financial and financial-like industries, due to characteristics such as business risks and management structures, relevant regulatory documents have expanded and refined the definition of senior management personnel based on the provisions of the Company Law, such as the definition of senior management personnel in securities and fund management institutions.

Therefore, when dealing with non-compete disputes involving senior management personnel, the determination and identification of the subject should be one of the starting points for handling the case.
